1. Acceptance of Terms

These Terms & Conditions ("Terms") form a binding agreement between you and Parichay Technologies ("Parichay", "we", "us", "our"), governing your access to and use of the Parichay digital business card, AI card scanner, contact management, and related web, mobile, and NFC hardware services (collectively, the "Service").

By creating an account, accessing the Service, scanning a card, ordering a physical NFC card, or otherwise using any part of Parichay, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, Refund Policy, and Data Deletion Policy, which are incorporated here by reference. If you do not agree to these Terms, you must not use the Service.

If you are using the Service on behalf of an organisation — for example, provisioning a team plan for your colleagues — you represent that you have the authority to bind that organisation to these Terms, and "you" will refer to both you and that organisation.

2. Description of Service

Parichay lets you build a free digital business card containing your name, role, company, phone number, email, and links, which you can share with others by QR code, shareable link, or an NFC tap. Recipients can save your details instantly without installing an app.

Our AI scanner allows you to photograph a physical paper business card using your phone's camera; Parichay's optical recognition extracts the fields on the card — name, title, company, phone, email, and address — into a structured contact record in your account. You should review extracted fields for accuracy before relying on them, since automated recognition is not infallible (see Section 10).

Beyond scanning, the Service provides contact management tools: tagging, searching, exporting contacts as CSV or vCard, syncing to your device's native address book, and pushing records to supported third-party CRMs. All of your data — your card content and your contact records — is stored in Parichay Cloud, our hosted infrastructure.

The Service is delivered through our iOS app, Android app, and web application, and, for customers who order them, physical NFC-enabled cards that link to your digital card. We may add, modify, or discontinue individual features of the Service over time; we will not materially degrade the core free-tier features described in this section without reasonable notice.

3. Eligibility & Account Registration

You must be at least 18 years old to create a Parichay account. By registering, you represent that you meet this age requirement and that you have the legal capacity to enter into these Terms.

You agree to provide accurate, current, and complete information when creating your account and digital card, and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

• Each individual may hold one personal account, unless they are added as a seat under an organisation's team plan, in which case the team administrator provisions and manages that seat.
• You must notify us promptly at info@azapi.ai if you become aware of any unauthorised use of your account.
• Team plan administrators are responsible for the conduct of the seats they provision and for removing access when a team member departs.

We reserve the right to suspend or terminate accounts that provide false information, impersonate another person or entity, or are created in violation of these Terms.

4. Your Content and Data Ownership

You own the content you put on your digital business card, and you own every contact record you create or import into Parichay, whether entered manually, scanned with the AI scanner, or synced from another source ("Your Content"). Parichay does not claim ownership over Your Content. We act as a processor and host of Your Content, not its owner — consistent with our site-wide commitment that your network is not a data product and your contacts are actually yours.

You grant Parichay a limited, non-exclusive, worldwide licence to store, process, and display Your Content solely for the purpose of operating and improving the Service for you — for example, rendering your digital card, running OCR extraction on a scanned image, indexing your contacts for search, or syncing them to a destination you choose. This licence ends when you delete the relevant content or close your account, subject to the retention terms in our Data Deletion Policy.

You can export Your Content at any time in open formats — CSV or vCard — and you can request full account and data deletion at any time through the app settings or by following our Data Deletion Policy. We do not lock your data behind proprietary formats, and we do not sell Your Content to third parties. 5. Acceptable Use Policy

You agree to use Parichay only for lawful purposes connected with legitimate professional networking and contact management. Without limiting the generality of the foregoing, you must not:

• Scrape, harvest, or bulk-collect other users' digital cards or contact information without their consent, including by automated means.
• Use the AI scanner to process large volumes of business cards you did not personally collect through legitimate exchange, or to build datasets for unauthorised resale or profiling.
• Send spam, unsolicited marketing, or bulk messages to contacts obtained through the Service.
• Impersonate another person, business, or entity, or misrepresent your affiliation with any person or organisation on your digital card.
• Upload, scan, or store content that is unlawful, defamatory, infringing, obscene, or that violates the privacy or rights of a third party.
• Reverse engineer, decompile, or attempt to extract the source code or underlying models of the Service, except where such restriction is prohibited by applicable law.
• Interfere with, disrupt, or attempt to gain unauthorised access to the Service, its infrastructure, or other users' accounts.

We may investigate suspected violations of this policy and may suspend or terminate access for accounts found in breach, in accordance with Section 13.

6. Subscription Plans, Fees & Billing

Parichay offers a free plan covering core digital card, scanning, and contact management features, alongside paid Pro and Team subscription tiers with expanded limits and features for individuals and organisations. Current plan features and pricing are published on our website and may be updated from time to time.

Paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You can cancel at any time from your account settings; cancellation stops future renewals but does not automatically refund the current billing period, except as described in our Refund Policy.

We may change subscription prices from time to time. Where a price change affects an active subscription, we will provide reasonable advance notice by email or in-app notification before the change takes effect on your next renewal; continued use of a paid plan after that date constitutes acceptance of the new price. All fees are exclusive of applicable taxes, which will be added at checkout where required by law. Refunds, where available, are governed exclusively by our Refund Policy.

7. NFC Cards & Physical Goods

In addition to the digital Service, Parichay offers physical NFC-enabled cards that can be personalised and printed with your name, role, and card details, and which link to your digital card when tapped against a compatible device. Because these cards are produced to your specification, they are treated as custom goods.

Once you submit an order, we begin production and personalisation of your card promptly; orders cannot be amended or cancelled once production has started. Estimated shipping times are provided at checkout and vary by destination. Risk of loss or damage to a physical card passes to you upon delivery to the shipping address you provided; please ensure your address details are accurate before confirming an order.

Because NFC cards are personalised custom goods, standard "change of mind" returns do not apply. Returns, replacements, and refunds for defective, damaged, or misprinted cards are handled under the terms set out in our Refund Policy, which you should review before ordering.

8. Third-Party Integrations & Links

Parichay supports optional integrations with third-party services, including pushing contacts to supported CRMs, syncing to your device's native contacts app, and exporting data for use in other tools. When you enable an integration, you authorise Parichay to share the relevant data with that third party in accordance with your instructions and our Privacy Policy.

Your use of any third-party service connected to Parichay — including the CRM, phone operating system, or cloud storage provider you sync with — is governed by that provider's own terms of service and privacy policy, not by these Terms. Parichay is not responsible for the availability, accuracy, security practices, or conduct of third-party services, and we make no warranties regarding them.

The Service may also contain links to third-party websites for your convenience. Following such a link does not imply our endorsement of that site, and we are not responsible for its content or practices.

9. Intellectual Property

The Parichay name, logo, product design, software, AI models, and all associated trademarks, service marks, and branding are the exclusive property of Parichay Technologies, protected under applicable Indian and international intellectual property law. Nothing in these Terms transfers any of that intellectual property to you.

Subject to your compliance with these Terms, Parichay grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own professional networking and contact management purposes. This licence does not permit you to copy, modify, distribute, sell, or lease any part of the Service, or to use our branding without our prior written consent.

As set out in Section 4, this section does not affect your ownership of Your Content — your card details and your contact records remain yours.

10. Disclaimers & Warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by applicable law.

In particular, while our AI scanner is designed to accurately extract fields from photographed business cards, optical character recognition is not guaranteed to be error-free, especially with low-quality images, unusual layouts, or non-standard fonts. You are responsible for reviewing and correcting any extracted contact data before relying on it.

We do not warrant that the Service will be uninterrupted, timely, secure, or free of errors or defects, and we do not guarantee any specific business outcome from using the Service, including networking or lead-generation results.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Parichay Technologies and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.

To the extent permitted under Indian law, our total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the total amount you paid to Parichay for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or, for users on the free plan, ₹5,000.

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for fraud or wilful misconduct.

12. Indemnification

You agree to indemnify, defend, and hold harmless Parichay Technologies and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your misuse of the Service; (b) your violation of these Terms or the Acceptable Use Policy in Section 5; (c) Your Content, including any claim that it infringes a third party's rights; or (d) your violation of any applicable law or the rights of a third party.

We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defence of that claim.

13. Termination

You may stop using the Service and delete your account at any time from your account settings, or by following the steps in our Data Deletion Policy. Deleting your account ends any active paid subscription's future renewals but does not, on its own, entitle you to a refund of the current billing period.

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have breached these Terms — including the Acceptable Use Policy — or where required to comply with applicable law. Where the breach is minor and curable, we will generally attempt to notify you and provide an opportunity to correct it first.

Upon termination, your right to use the Service ends immediately. Your data will be retained and then deleted in accordance with our Data Deletion Policy; you remain able to request export of Your Content before deletion completes, where technically feasible. Sections of these Terms that by their nature should survive termination — including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law — will continue to apply.

14. Governing Law & Dispute Resolution

These Terms, and any dispute arising out of or in connection with them or the Service, are governed by the laws of India, without regard to its conflict of laws principles.

If a dispute arises, we encourage you to first contact us at info@azapi.ai so we can attempt to resolve it informally and promptly. If a dispute cannot be resolved informally within a reasonable time, both parties agree that it shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India, and each party irrevocably submits to that jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Service, legal or regulatory requirements, or our business practices. When we make material changes, we will update the "Last updated" date at the top of this page and, where the changes are significant, notify you by email or through an in-app notice before they take effect.

Your continued use of the Service after a revised version of these Terms becomes effective constitutes your acceptance of the changes. If you do not agree to the updated Terms, you should stop using the Service and may delete your account as described in Section 13.
